Section 2. Division Bylaws
AMENDED BYLAWS OF THE YOUNG LAWYERS DIVISION OF THE UTAH STATE
BAR
ARTICLE I
NAME AND PURPOSE
Section 1--Name: The name of the Division shall be the
Young Lawyers Division of the Utah State Bar (the “Division”).
Section 2--Purpose: The purpose of the Division shall
be to stimulate the interest of young lawyers in the objects and programs
of the Utah State Bar and the American Bar association, to foster discussion
and interchange of ideas relative to the duties, responsibilities, and
problems of the young members of the legal profession so as to aid and
promote their advancement, and to carry on activities which will (a) assist
young lawyers in the practice of law, (b) assure the highest standards
of professional competence and ethics, (c) improve the administration
of Justice, (d) provide public service, and (e) improve the availability
of legal services to the public.
ARTICLE II
MEMBERSHIP
Section 1--Eligibility: All members of the Utah State
Bar in good standing under 36 years of age and those members who have
been admitted to their first Bar less than three years, shall constitute
the membership of the Division. Membership in the Division shall terminate
automatically at the adjournment of the annual meeting of the Utah State
Bar Association following a member’s thirty-sixth birthday or the
third anniversary of a member’s admission to their first Bar, whichever
last shall occur.
Section 2--Voting Rights: Each member shall be entitled
to one vote on any question submitted to the Division and in any election
as provided herein.
ARTICLE II
LEADERSHIP
Section 1--Officers: The officers of this Division shall
be a president, a president-elect, a secretary, and a treasurer.
Section 2--Duties of Officers: The Officers shall have
the general supervision and control of the affairs of the Division, subject
to the statues and bylaws of the Utah State Bar, and shall establish and
execute the general policy, programs, and activities of the Division.
Section 3--President: The president shall preside at
all meetings of the Division and meetings of the Executive Council and
shall perform such other duties and acts usually pertaining to this office.
The president shall prepare a report of the activities of the Division
for the past year for presentation in the issue of the Division’s
newsletter immediately preceding the Utah State Bar’s annual meeting.
The president shall prepare and submit an annual budget to the Board of
Commissioners and other reports as may be necessary.
Section 4--President-Elect: The president-elect shall
act as president in the absence of the president, shall be Chairman of
the Long Range Planning Committee, shall plan programs in cooperation
with the Executive Council, and shall perform such other duties as may
be assigned by the president.
Section 5--Secretary: The secretary shall keep minutes
of meetings, send out notices, prepare agendas, shall act as administrative
assistant to the president, shall assist committee chairpersons in carrying
out the work of the committees and shall perform such other duties as
may be assigned by the president or Executive Council. Upon being succeeded
in office, the secretary shall turn over all Division records and correspondence
to the successor secretary.
Section 6--Treasurer: The treasurer shall chair the
Finance Committee, prepare an annual budget for submission to the officers
of the Division, submit to the Executive Council quarterly reports within
one month after the end of each quarter, and handle all financial matters
of the Division under the direction of the president of the Division.
Upon being succeeded in office, the treasurer shall turn over all Division
financial records to the successor treasurer.
Section 7--Terms of Office: The president-elect, secretary,
and treasurer shall be elected for one-year terms in the manner prescribed
herein. The president-elect shall automatically succeed to the office
of the president for a one-year term. If the office of the president should
become vacant, the president-elect shall become president of the Division
for the unexpired term. Such service shall not affect such persons becoming
president of the Division. If any other office becomes vacant prior to
the expiration of its term, the office shall be filled by the Executive
Council.
Section 6--Removal: An officer may be removed from the
office for cause by the vote of two-thirds of the number of members of
the Division voting in the immediately preceding election.
ARTICLE III
ELECTIONS
Section 1--Notice of Election: The officers shall cause
notice of election to be given to Division members at least 30 days before
the Utah State Bar’s annual meeting. Notice shall be given in a
manner calculated to give notice to all Division members.
Section 2--Eligibility for Office: Any member of the
division may be nominated for office provided the member is in good standing
and shall remain a member of the Division during the term in office for
which the member is running, or during the terms in office if the member
is running for president-elect.
Section 3--Nominations: Nominations for the office must
be signed by three members of the Division who are in good standing, setting
forth the office sought, and must be received by the secretary or other
person designated by the Executive Council by the deadline set by the
Executive Council. Each nomination must be accompanied by a written statement
which contains the candidate’s biography, qualifications and platform.
The written statement will be no longer than the equivalent of two pages,
typewritten and double-spaced on one side of a sheet of paper.
Section 4--Election: Officers shall be elected by secret
ballot via email or regular mail by all members of the Division. Members
shall be sent information on each candidate and an official ballot via
email. Ballots must be returned to the secretary or other person designated
by the Executive Council by the deadline set by the Executive Council,
which shall be no later than 5 days prior to the Annual Meeting of the
Utah State Bar. The candidate receiving the greatest number of votes for
each office shall be elected. New officers shall be announced at the Annual
Meeting of the Utah State Bar.
ARTICLE IV
EXECUTIVE COUNCIL
Section 1--Composition: The Executive Council shall
be composed of members of the Division in good standing, four of whom
shall also be the officers of the Division. The immediate past president
of the Division shall be an ex-officio member of the Executive Council.
Section 2--Duties of Executive Council: The Executive
Council shall coordinate and execute the programs and affairs of the Division
under the direction of the officers of the Division. In addition to the
members described in Article VI, Section 1, the Executive Council shall
include all committee chairpersons of the Division.
Section 3--Selection and Terms of Executive Council Members:
The members of the Executive Council shall be elected by the officers
of the Division. Except as provided in Sections 1 and 2 of this Article
IV, the number of members selected for the Executive Council each year,
shall be discretionary with the officers. Those selected and accepting
appointment to the Executive Council shall be members of the Executive
Council for a term of one (1) year. Any vacancy on the Executive Council,
through resignation or otherwise, may be filled by the officers. Executive
Council members selected by the officers may be removed by the unanimous
vote of the officers at any time without cause.
ARTICLE V
REPRESENTATIVE ON THE BOARD OF COMMISSIONERS
Section 1--Representativeon the Board of Commissioners:
Pursuant to authorization from the Utah State Bar, the president of the
Division shall serve as the ex-officio representative of the Division
on the Board of Commissioners of the Utah State Bar.
Section 2--Term of Office and Election: The term of
the representative shall coincide with his or her term as president of
the Division. If the office of president should become vacant, the president-elect
shall become president of the Division and shall also serve as the representative
on the Board of Commissioners for the unexpired term.
ARTICLE VI
MEETINGS
Section 1--Meetings: Meetings of the Division may be
called by the president or by a majority of the Executive Council. The
time and place of meetings shall be announced at least one week in advance.
Section 2--Quorum: At all meetings of the Division,
the members of the Division present shall constitute a quorum for the
transaction of business. The latest edition of Roberts Rules of Order
shall govern the proceedings.
Section 3--Meetings of the Executive Council: The Executive
Council shall meet at least once per month, nine out of every twelve months.
The time and place of each monthly or other meting of the council shall
be announced at least one week in advance. The members present at any
duly called meeting of the Council shall constitute a quorum. The majority
of the council members may call a meeting by giving proper notice.
Section 4--Meetings of the Officers: The officers shall
meet as often as they deem necessary. The president, or any two officers,
may call such a meeting by giving adequate notice to all officers. Any
two of the officers present shall constitute a quorum.
ARTICLE VII
COMMITTEES
Section 1--Appointment: The officers of the Division
shall appoint such committees as shall be deemed necessary to carry out
the plans and objectives of the Division for the ensuing year. The officers
shall designate the committees, define the duties, and appoint the committee
chairpersons.
Section 2--Special Committees: At any time during the
year, the officers may appoint such special committees as they may deem
advisable in order to carry out the purposes of the Division and shall
describe the duties and functions of such special committees. The officers
shall appoint the committee chairpersons of special committees.
Section 3--Meetings: Committees shall meet as often
as necessary in order to perform their duties. The members present of
any committee shall constitute a quorum. Each committee shall report its
activities from time to time to the Executive Council and officers and
each committee, at the request of the president of the Division, shall
submit an annual report in writing prior to the annual meeting.
ARTICLE VIII
AMENDMENTS
These bylaws may be amended at any meeting of the Division or by mail
ballot by a two-thirds vote of the members of the Division present or
returning ballots provided that notice of the substance of the proposed
amendments shall have been duly given to all members of the Division.
