MINUTES
OFFICERS MEETING
UTAH STATE BAR TAX SECTION
June 28, 2005

1. Financial Statements.
Section financial statements show a declining balance from the prior year. Expenses exceeded revenue. We have subsidized membership luncheons in the past but with our balance declining, we discussed the need to adjust the finances in order to maintain a sufficient reserve in the section accounts. We agreed that we would increase the luncheon fee to $20. This should allow us to maintain a reserve while increasing the quality of the luncheon food which the officers felt had declined over the last year. Graden Jackson agreed to check with the Alta Club on improving the food selection.

2. List of Officers and members
Mr. Howard agreed to update the bar association list.

3. Monthly luncheons

a. We discussed potential topics and speakers including: Dennis Astle on an international topic; someone on the tax impact of the Bankruptcy Abuse Prevention and Consumer Protection Act of 2005; someone on partnership law, possibly Cliff Fleming or Stan Neeleman; someone on deferred compensation, possibly Steve Woodland; someone on exemption organizations; someone on offers in compromise. We agreed to reserve the March, 2006 date for a legislative update

b. Honorariums. We agreed that we would continue to provide some sort of honorarium to speakers i.e. restaurant gift certificate

c. Scheduling and location. We discussed whether we should change from the Alta Club location. Most liked the location, but would like to see some improvement on the food.

d. Notice to section members. The e-mail notice seems to have worked well.

e. failure to pay notices. The section secretary/treasure will continue to send out a letter to those who sign up for a luncheon but who do not come as the section receives a charge for that reserved luncheon cost.

4. By-laws, any needed updates. Everyone agreed to take a look at the by-laws

5. Tax Section Stationary. Craig A. Hale had his secretary prepare a computerized stationary. He agreed to update it and circulate it to the section officers.

6. Assignments

a. Supreme Court Ethics Advisory Committee, Mark H. Howard

b. Mid-year Bar meeting, Craig A.Hale

c. Annual Bar meeting, Mark H. Howard

d. Government Affairs Committee, no decision

e. IRS Tax liaison group, change to Graden Jackson

7. Possible scholarship for U of U and/or BYU law school tax students. We agreed to ask Gary Thorup to continue the coordination he had begun on this point.

8. Utah Tax Review Commission letter. The letter asks for help in reviewing Utah tax laws. We agreed to solicit section members to form a committee. Mark H. Howard agreed to get a notice out on this.

9. Other business
Officers agreed that we should award Gary Thorup a $300 gift certificate for his service to the section as the section has done for past officers. We just need to find out what business he would like the gift certificate from.

We agreed that we should send a representative to the National Association of State Bar Tax Sections. Mr. Howard will try to get approval to go. If he cannot, then the section will send another officer or possibly Mr. Thorup as a past officer.

10. Next officers’ meeting set for Aug. 30
