Uranerz Energy Corporation is a Nevada corporation, listed on the NYSE MKT and TSX stock exchanges, which has just commenced uranium mining operations at its Nichols Ranch mine near the Company’s Casper, Wyoming head office.

The Company has an immediate need for in-house Legal Counsel to join its senior management team. Reporting to the President & Chief Operating Officer and accountable to the Executive Committee, Legal Counsel has overall responsibility for the Company’s legal affairs.

The position will be located in Casper, Wyoming. Travel to the Nichols Ranch mine site (75 miles from Casper) and the Vancouver, Canada investor relations and administrative office will be required from time to time.

Position Description

As a member of the senior management team, proactively provides legal advice and guidance to support the Company’s business plans and objectives and risk management strategies.

Negotiates and drafts material contracts to which the Company is a party, which will include a wide variety of corporate-commercial and supply chain contracts.

Takes a lead role in providing legal advice in respect of the Company’s financing and business development initiatives by assisting in conducting and complying with due diligence requirements, negotiating and drafting of term sheets, commercial agreements, prospectuses or offering memoranda.

Working closely with the CFO, ensures compliance with US and Canadian securities law legislation, including the Sarbanes-Oxley Act and the requirements of the NYSE MKT and TSX, drafts and reviews the Company’s periodic disclosure filings such as its Annual Report on Form 10-K, quarterly report on Form 10-Q and annual general meeting proxy statement.

Working with the Investor Relations team, ensures the Company is compliant with its continuous disclosure obligations, reviews all press releases and initiates the filing of reports on Form 8-K and Material Change Reports as and when required.

Working closely with the Board and Board Committees, as Corporate Secretary, advises and assists the Board to fulfil its role in effective corporate governance. Follows emerging corporate governance best practices and keeps the Board apprised of legal and corporate governance developments. Acts as a liaison between independent and management Board members.

Provides employment law advice to management and human resources staff and assists in the development of appropriate employment practices and policies.

Oversees compliance with the Company’s Trading Policy and assists Company insiders in compliance with reporting obligations.

With the CFO, administers the Company’s stock option plan under the direction of the Compensation Committee.

Supervises all engagements of external legal counsel.

Qualifications/Desired Attributes

US law degree
7-15 years of legal practice experience
Called, or eligible for call, to the Bar of the State of Wyoming
Previous experience as counsel to US public company(ies)
Extensive corporate-commercial and transactional legal experience
Expertise in mining and mineral law would be an asset
Previous in-house experience would be an asset
Previous corporate secretarial experience would be an asset
Excellent interpersonal and communication skills
Ability and willingness to work with staff at all levels within the organization
Strong business acumen
Proactive approach to providing legal advice and risk management
