Purpose of Position
To provide effective legal support and counsel to assist Kern River Gas Transmission Company (Kern River) and its affiliates to accomplish their objectives consistent with existing laws, regulations and agreements.

An attorney handles complex and diverse legal matters and projects requiring innovation, experience and judgment; exercises leadership skills; performs complex technical tasks and leads teams in projects of major scope, importance and/or unusual complexity; makes un-reviewed decisions regularly; and serves as advisor and mentor.

Provides Support to the Following Positions
All Kern River management and departments as assigned

Primary Job Duties and Responsibilities (Essential Job Functions)
Provides legal counsel in litigation matters. Works with in-house and outside counsel to successfully resolve litigation consistent with Kern River’s litigation goals.

Supports Kern River’s commercial and business development activities. Responsibilities include reviewing, drafting, and negotiating various types of contracts and communications related to Kern River’s natural gas pipeline business. Manages and resolves commercial disputes consistent with the Kern River’s objectives.

Provides proactive legal counsel to accomplish management’s objectives consistent with existing agreements, laws, and regulations. Work may include corporate compliance and governance matters, customer credit and risk management and general contract work. This position takes on special projects as assigned from time to time.

Provides legal support on natural gas pipeline regulatory and certificate matters. Drafts various pleadings, communications and memoranda, supports regulatory compliance, and manages various regulatory filings including rate cases.

Internal - all Kern River management and employees

External – government agencies (FERC, DOT, OSHA, EPA, etc.), law firms, public officials, courts, administrative agencies, customers and competitors

Demonstrates technical knowledge and an understanding of pipeline operational and regulatory matters and Kern River’s business processes and objectives.

Attends work on a regular basis during normal operating hours and supports and adheres to Kern River's employee policies and procedures, including workplace safety rules and Code of Business Conduct.

Position Requirements
Law degree from an accredited law school.

Licensed to practice law in Utah or be licensed in another state and licensed in Utah within one year after the start date.

Two to five years (as a guideline) of commercial litigation experience.

Thorough understanding of the law and proficiency in its interpretation and application.

Highly effective oral and written communication skills.

Highly effective analytical, problem-solving and decision-making skills.

High degree of proficiency in the use and application of computer programs, including spreadsheet, word processing, e-mail and PowerPoint.

Ability to develop a consensus among differing management viewpoints and interact effectively with all levels of company management, competitors, customers, public officials and governmental agencies.

Ability to handle critical time constraints, priorities and deadlines. Must be available outside of normal working hours.

Ability to handle heavy workload, multiple project responsibilities and continually changing priorities.

Periodic travel for projects, hearings, litigation, negotiations, etc.

Must support Kern River’s employee policies and procedures, including workplace safety rules.

Desirable Experience
Legal experience in support of gas or oil pipeline operation matters, rights-of-way, contracting for goods and services, asset acquisition or disposition and regulatory support (OSHA, DOT, FERC, PUC, EPA, etc.).
