The Utah Minority Bar Association, a Utah non-profit corporation, (referred herein as the "UMBA", "we" or "us") provides certain directory Services to users, as described below. Users (referred herein as "you", "your" or "User") of the Services agree to abide by this Terms of Service (the "TOS"). The TOS may be updated by us without notice to you. The most recent version of the TOS may be obtained by requesting a copy from UMBA. USE OF THE SERVICES DEFINED BELOW CONSTITUTES YOUR ACCEPTANCE OF THE TOS. BY USING THE SERVICES YOU AGREE TO THE FOLLOWING TERMS OF SERVICE: 1. UMBA will provide a directory of attorneys as a simple way to assist members of UMBA and the public in locating an attorney that has a specific area of practice or familiarity with a particular language. Members of UMBA will be allowed to voluntarily list their information on the directory and the general public will be allowed to search those listings (the "Services"). 2. UMBA reserves the right, in its sole discretion, to reject, refuse to post or remove any posting or listing by you, or to restrict, suspend, or terminate your access to all or any part of the UMBA Services at any time, for any or no reason, with or without prior notice, and without liability. 3. By using the UMBA Services, you agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the registration form and (b) maintain and promptly update your information to keep it true, accurate, current and complete. 4. You acknowledge that UMBA may or may not pre-screen the Content provided by Users of its Services. You acknowledge that UMBA or its designees shall have the right (but not the obligation) in their sole discretion to pre-screen, refuse, or move any Content from the use of its Services. Without limiting the foregoing, UMBA and its designee shall have the right to remove any Content that violates the TOS or is otherwise objectionable. You agree that you must evaluate and bear all risks associated with the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. 5. Profiles created and posted by users of UMBA Services may contain links to other websites. UMBA is not responsible for the Content, accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by UMBA. Inclusion of any linked website on the UMBA Services does not imply approval or endorsement of the linked website by UMBA. When you access these third-party sites, you do so at your own risk. 6. UMBA is not responsible for the conduct, whether online or offline, of any User of the UMBA Services. 7. DISCLAIMER OF WARRANTIES YOU EXPRESSLY UNDERSTAND AND AGREE THAT: YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. UMBA, UMBA'S OFFICERS, EMPLOYEES, AND ITS AGENTS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. UMBA, UMBA'S OFFICERS, EMPLOYEES, AND ITS AGENTS MAKES NO WARRANTY THAT: (I) THE SERVICES WILL MEET YOUR REQUIREMENTS; (II) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (III) THE SERVICES WILL BE ACCURATE OR RELIABLE; AND (IV) ANY ERRORS IN THE SOFTWARE USED TO PROVIDE THE SERVICES WILL BE CORRECTED. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS ACCESSED AT YOUR OWN DISCRETION AND RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM USE OF THE SERVICES SHALL CREATE ANY WARRANTY WHATSOEVER. 8. LIMITATION OF LIABILITY YOU EXPRESSLY UNDERSTAND AND AGREE THAT UMBA, UMBA'S OFFICERS, EMPLOYEES, AND ITS AGENTS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF UMBA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE SERVICES; (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE USE OF THE SERVICES; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSION OR DATA; (IV) STATEMENTS OR CONDUCT OF ANY THIRD PARTY USING THE SERVICES; OR (V) ANY OTHER MATTER RELATING TO THE SERVICES. 9. The TOS constitutes the entire agreement between you and the UMBA and governs your use of the Services. 10. The TOS and the relationship between you and the UMBA shall be governed by the laws of the State of Utah without regard to any conflict of law provisions. You and UMBA agree to submit to the personal and exclusive jurisdiction of the courts located within Salt Lake County, Utah. 11. The failure of UMBA to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect. 12. YOU AGREE TO INDEMNIFY AND HOLD UMBA, UMBA'S OFFICERS, EMPLOYEES, AND ITS AGENTS HARMLESS FROM ANY CLAIM OR DEMAND, INCLUDING REASONABLE ATTORNEYS' FEES AND COSTS, MADE BY ANY THIRD PARTY DUE TO OR ARISING OUT OF: (I) CONTENT YOU MADE AVAILABLE THROUGH YOUR USE OF THE SERVICES; (II) YOUR VIOLATION OF THE TOS; OR (III) YOUR VIOLATION OF ANY RIGHTS OF ANOTHER.
